Tata Consumer Products Ltd (TCPL), an FMCG company, has merged its three wholly-owned subsidiaries after receiving NCLT approval and other regulatory approvals.
TCPL has combined its wholly-owned businesses Tata Consumer Soulfull Pvt Ltd, NourishCo Beverages Ltd, and Tata SmartFoodz Ltd, according to a statement from Tata Group's FMCG unit.
"We would like to tell you that the conditions mentioned in Clause 17 of the Scheme, including the submission of certified copies of the order with the Registrar of firms of the individual firms in Form INC-28, have been duly accomplished. Accordingly, the Scheme's effective date (of merger) is September 1, 2024," the business stated in a regulatory filing.
This is consistent with the company's focus on simplifying and streamlining its operations. The merging of legal entity structures would result in increased efficiency and synergies, it noted.
"The operating structure for these business divisions remains unchanged, and they will continue to focus on the following portfolios: millet-based goods, ready-to-drink products, and ready-to-cook/ready-to-eat products. "These product portfolios are part of Tata Consumer Products' growth businesses," it stated.
TCPL's product line includes tea, coffee, water, RTD, salt, pulses, spices, ready-to-cook and ready-to-eat options, morning cereals, snacks, and mini meals.
The firm, with a combined sales of Rs 15,206 crore, owns important beverage brands such as Tata Tea, Tetley, Organic India, Eight O'Clock Coffee, Tata Coffee Grand, Himalayan Natural Mineral Water, Tata Copper+, and Tata Gluco+.
